Every customer or buyer and seller are bound to or by all the Terms & Conditions for Usage of platform as mentioned here.

(Note: Buyer or Wholesaler or Customer means “Buyer” – who uses this platform for purchasing or buying of products or services, where as “Seller” – Seller comes under customer to Y-Kart, but “Seller”- who uses this platform for selling of products or services to the buyers who registered on this platform.)
• You agree that by accessing the platform, you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these Terms of Use, then you are expressly prohibited from using the platform and you must discontinue use immediately.
• In addition, when you use any current or future platform services like Wish List, e-Market place, e-commerce website or e-commerce mobile application or Market place or e-commerce platform etc., (“Y-Kart Service”), you will also be subject to the terms, guidelines and conditions applicable to that Y-Kart Service. (“Terms”). If these Conditions of Use are inconsistent with such Terms, the Terms will control.

If You transact on the Platform, You shall be subject to the policies that are applicable to the Platform for such transaction. By mere use of the Platform, You shall be contracting with Y-Kart and these terms and conditions including the policies constitute Your binding obligations, with Y-Kart. Bipartite agreement mentions the terms and conditions between Buyer and seller.
• When You use any of the services provided by Us through the Platform, including but not limited to, (Example: Product Reviews, Seller Reviews), You will be subject to the rules, guidelines, policies, terms and conditions (Terms, conditions) applicable to such service, and they shall be deemed to be incorporated into this Terms of Use and shall be considered as part and parcel of this Terms of Use. We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to You. As long as You comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform.

1. Your Account: If you use the platform, you are responsible for maintain the confidentiality about your user name and password. It is your responsible to safeguard them. You agree to create your account using your email id or contact number, and to provide your details about address and any related information to collect or to deliver the product from your location, to provide your correct and active bank details to refund (in case of UPI and Cash on Deliver) to buyer or to collect the sale amount (sale amount = product or service cost – (Taxes + fees + commission + Shipping cost) by seller after completions of return policy period as per seller’s agreement. Buyer have to create an account under customer and Seller under seller at our signup page. It is your responsibility to restrict your devices to prevent from unauthorised access to your account and any related information which comes under this agreement. If you allow others to use your account, you are completely responsible for any fraud or illegal or any wrong transaction happened, in such cases We are not responsible or made liable for any losses incurred to you.

• Transaction (include both buying and selling of services or products or both) on the Platform is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 including un-discharged insolvents etc. are not eligible to use the Platform. If you are a minor i.e., under the age of 18 years, you may use the Platform or access content on the Platform only under the supervision and prior consent/ permission of a parent or legal guardian. If you are minor as per India Laws, all the transactions to be made by your parents or legal guardians. It is your responsible to intimate us about any unauthorised access to your account. Please ensure that all the information about you provided with us are correct and you have to inform us if any changes were made in it through your My Account area on platform. This platform is a platform where users can utilise their scope to sale or purchase the products with one another for their transactions.
• Y-Kart is not a part or party in between users, and we do not have any control in any manner between users for transactions. You agree and acknowledge that you use this account for “buyer use our platform to Purchase of product or services for personal not for business purpose, seller use our platform to sell his product or services which are legal to sell on such platform as per India Laws”. You shall be solely liable for all compliances required under applicable laws. You agree, understand and acknowledge that we are giving our services on this platform in and across India except Andaman Nicobar to some limited and selected locations (Pin Code Base) only.
• Y-Kart has the right to not allow business purchases on the Platform to You if a fraudulent activity is identified. Seller reserves the right to not issue Tax Invoice or issue a credit note against an already issued Tax Invoice to cancel the transaction, if any fraudulent activity is identified. You shall independently agree upon the manner and terms and conditions of delivery, payment, insurance etc. with the seller(s) that You transact with. Y-Kart reserves the right to refuse access to the platform, terminate accounts, remove or edit content at any time without any notice to you.

You may not pretend that You are, or that You represent, someone else, or impersonate any other individual or entity. 6. Limited access to platform: We will try our best to ensure the availability of the platform with uninterrupted services and all transactions will be error- free. However due to act of god, nature calamities, and due to nature of internet, this cannot be guaranteed. Your access to platform may also be occasionally suspended or restricted to allow us for updates, repair, maintenance, or introduction to new facilities or services at any time without any prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction. We are not liable for any inconvenience happen to you in use of this platform.

Claims against Objectionable Content: Y-Kart lists several products for sale offered by sellers on the platform and hosts many of comments, it is not possible for us to be aware of the contents of each product listed for sale, or each comment or review that is displayed. Accordingly, Y-Kart or ykartretail.in operates on a “notice and takedown” basis. If you believe that any content on the platform is offensive and illegal (including but not limited to material that is sexually explicit content or physical harm or which promotes racism, hatred, bigotry), deceptive, misleading, abusive, indecent, harassing, libellous, defamatory, paedophilic or menacing, obscene, pornographic; blasphemous, ethnically objectionable, disparaging; or relates to or promotes money laundering or gambling; or threatens the unity, integrity, security or sovereignty of India or friendly relations with foreign States; or is otherwise injurious to third parties; or is harmful to minors in any way; or impersonates another person; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, (“Objectionable Content”), please notify us immediately by infringement@ykartretail.com. SELLING: You as registered seller on our platform, you are allowed and permitted to make use of our platform to list item(s) or services which are legally allowed as per India laws and respective state laws for sale on the Platform in accordance with the Policies which are incorporated by way of reference in this Terms & Conditions of Use. You must be legally able to sell the item(s) you list for sale on our Platform. You must ensure that the listed items do not infringe upon the intellectual property, trade secret or other proprietary rights or rights of publicity or privacy rights of third parties or consent Brands. Listings may only include text descriptions, graphics and pictures that describe your item for sale. All listed items must be listed in an appropriate category on the Platform. All listed items must be kept in ready stock for successful fulfilment of sales. The listing description of the item must not be misleading and must describe actual condition of the product. If the item description does not match the actual condition of the item, you agree to refund any amounts that you may have received from the Buyer. You agree not to list a single product in multiple quantities across various categories on the Platform. Y-Kart reserves the right to delete such multiple listings of the same product listed by you in various categories and to delete them on our platform. You agree to take orders, process it with proper packing and Bills (GST or any applicable bills in support to ship), shipping on your own courier partner or our courier partner, to replace or refund as case may deemed fit to buyer who purchase your product on this platform. You agree to pay all the fees, commissions, taxes which are applicable as per Indian laws for make use of platform to us. You agree to list and sell all the products which are in not used condition and sealed as it is received from company and the said product is not a refurbished one. This platform not allows to sale any refurbished products, if we receive any complaint or any feedback or may come to our finding which confirms that it is not as original then seller will be made liable for any losses or damages or any such caused to buyer or to us as per Indian Laws. We do not have any control or does not determine or advise or in any way involve itself in the offering or acceptance of such commercial/contractual terms between the Buyers and Sellers. All discounts, offers (including exchange offers) are by the Seller/Brand and not by Us.

• We do not make any representation or warranty as to the item-specifics (such as legal title, creditworthiness, identity, etc) of any of its Users. You are advised to independently verify the bona-fides of any particular User that You choose to deal with on the Platform and use Your best judgment in that behalf. We do not at any point of time during any transaction between Buyer and Seller on the Platform come into or take possession of any of the products or services offered by Seller nor does it at any point gain title to or have any rights or claims over the products or services offered by Seller to Buyer. At no time shall Y-Kart hold any right, title or interest over the products nor shall Y-Kart have any obligations or liabilities in respect of such contract entered into between Buyers and Sellers. Y-Kart is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered. The Platform is only a platform that can be utilised ed by Users to reach a larger base to buy and sell products or services. Y-Kart is only providing a platform for communication and it is agreed that the contract for sale of any of the products or services shall be a strictly bipartite contract between the Seller and the Buyer. At no time shall We hold any right, title or interest over the products nor shall we have any obligations or liabilities in respect of such contract. We are not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered.

    • Exclusive or Selective Distribution: Y-kart respects a manufacturer’s right to enter into exclusive distribution agreements for its products. However, violations of such agreements do not constitute intellectual property rights infringement. As the enforcement of these agreements is a matter between the manufacturer and the retailers, it would not be appropriate for Ykart to assist in enforcement activities. You may not systematically extract/ or re-utilise parts of the contents of the platform without Y-Kart and or its affiliates (as may be applicable) express written consent. All other trademarks are not owned by Y-Mart & Hotels Private Limited that appear on this website or mobile application are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Y-Kart. Usage of other brand trademarks or names on our platform is only for the purpose to identification of such branded products by customer. This indemnification obligation will survive the expiry or termination of these Terms and/or your use of the Service. For sellers or buyers mistake, fault we are not made liable to claim any losses or damages, aggrieved person or victim may directly made buyer or seller liable for such loss or damages. You agree that Ykart is not made liable any of this matter for any losses or damages.

You hereby expressly release Y-Mart & Hotels Private Limited and/or its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the vendors and specifically waiver any claims or demands that you may have in this behalf under any statute, contract or otherwise.
21. SUBMISSIONS: You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Platform (“Submissions”) provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.  You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. Y-Mart & Hotels Private Limited does not assume any responsibility or damages or liability for the actions, products, and content of any of these and any other third-parties. Losses: We will not be responsible for any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that is not reasonably foreseeable to both you and us when you commenced using the website.

• Jurisdictional Issues/Sale in India Only: This Platform is presented material solely for the purpose to give its services in across India, except Andaman & Nicobar. Y-Kart make no representation that materials or services in the Platform are appropriate or available for use in other locations/Countries other than India. Those who choose to access this site from other Countries or other locations where we are not serving other than India do so on their own initiative and Y-Kart is not responsible for supply of products/refund for the products ordered from other locations/Countries other than India, compliance with local laws, if and to the extent local laws are applicable. We are not giving platform services in Andaman & Nicobar location.
• Compliance with laws relating to Payments: You (Seller and Buyer) shall compile with all the laws applicable (including without limitation Foreign Exchange Management Act, 1999 and the rules made and notifications issued there under and the Exchange Control Manual as may be issued by Reserve Bank of India from time to time, Customs Act, Information and Technology Act, 2000 as amended by the Information Technology (Amendment) Act 2008, Prevention of Money Laundering Act, 2002 and the rules made there under, Foreign Contribution Regulation Act, 1976 and the rules made there under, Income Tax Act, 1961 and the rules made there under, Export Import Policy of government of India) applicable to them respectively for using Payment Facility and Y-Kart Platform.
• You agree and must compile to all the terms and conditions, privacy policy of Y-Kart associated trusted payment gateway partners for all payments and refunds made against any product or service using this Platform.

27. Severability: If any provision of these Terms is held invalid, void, or unenforceable, then that provision shall be considered severable from the remaining provisions, and the remaining provisions shall be given full force and effect.

Software Terms: In addition to these Conditions of Use, the terms to any software  (software which is used to create the platform, including any updates or upgrades or changes to the software and any related procedure and documentation) that we make available to you from time to time for your use in connection with ykartretail.com or Mobile app or platform. Use of the Y-Kart Software, Third party Services: You may use Y-Kart Software solely for the purposes of enabling you to use and enjoy the platform as provided by Y-Kart, and as permitted by the Terms & Conditions of Use, these Software Terms and any others Terms which may to be consider. You may not incorporate any portion of the platform Software into your own programs or compile any portion of it in combination with your own developed or third party programs, transfer it for use with another any type of service, or rent, sell, modify, lease, lend, loan, distribute or sub-license the platform Software or otherwise assign any rights to the platform Software in whole or in part. You may not use the platform Software for any illegal purpose as per Indian Laws in any way.     • No Reverse Engineering: You may not, and you will not assist, encourage or authorise any legally formed person or person to change, modify, copy, decompile, reverse engineer, tamper, debug, disassemble, or any such forms which may to be consider with Platform software, where completely or in part, or any derivative works created from or of the platform software.
    • Force Majeure : You agree that Y-Kart shall be under no liability whatsoever to you in the event of nonavailability of the Platform and/or any of the Services or any portion thereof, occasioned by an Act of God, war, disease, revolution, riot, civil commotion, strike, lockout, flood, fire, satellite failure, failure of any public utility, man-made disaster, satellite failure or any other cause whatsoever beyond the control of Y-Kart (including any event which is caused by the failure or non-performance on the part of the Content Owners or the Platform Partners).
30. Sanctions and Export Policy: You may not use our platform for any export purpose. Currently we are giving providing service (Buying, Selling, shipping of products from buyer to seller) through our platform with selected locations with in India. We are not providing any services in Andaman & Nicobar. All policies are to be bind under the rules and regulations or laws which are applicable in India.
31. Communication with us: When you make use or transact on our platform we will or you communicate us electronically. You will be required to provide valid KYC (Know Your Customer) details like Phone Number, Email Id and other details will ask while placing order with us. We may communicate with you through phone call, e-mail, SMS or through contact page of our website. For contractual purpose, you consent to receive communication for every step from us with respect to your transaction on the platform. In Case of any communication regarding disputes in payment or refund or any other issues related to products or services we collect your KYC documents

Alteration or update or amendment to conditions: Supplemental terms and conditions or documents that may be posted on the platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. Dispute Resolution Policy (DPR): All transactions on the Y-Kart are trusted by the seller and buyer, however there are any cases of issues in between buyers and sellers we may try our level best to resolve the issues which comes to our notice and try to satisfy both of them. Dispute is a violation of bipartite agreement between buyer and seller for the transaction happen through our platform. In case of any dispute buyer or seller may bring it to our notice through dispute@ykartretail.com. Dispute shall be brought to our notice with in 15 days from the date of delivery of the product. Problems like wrong items received, item not as described, Damaged or Seal Broke on product at time of receive, part or accessories are missing, item not compatible (it under the discretion of Y-Kart), seller discerption/specification wrong at product specification page, Defective (Functional Issue), Product not working and manufacturer claims invalid invoice. If seller may rejects the replacement or return request for the valid reason by buyer may raise a dispute to us. Buyer or seller may bring any fraudulent action or likely to be same will bring to our notice as a dispute. Any damage or loss to the product after delivery in the hands of buyer may not be claimable under this dispute, if any damage was observed or identified at time of delivery the buyer can refuse the order to accept. Y-Kart is not responsible or liable at any point for any direct or indirect losses, expenses, costs of any nature such things have to be incurred by the buyer or seller. Disputes raised at time of payment will not be resolved under this DPR, they have to contact concern bank or service provider directly. Decision taken by Y-Kart is final and binding on its users. Y-Kart customer care team will ask for more information if so needed to resolve issue, any of buyer or seller won’t respond within 5 days the issue will be auto closed. Seller agrees to give correct and complete invoices to the buyers, any discrepancy found or occurred seller is completely responsible for it. Seller is liable and responsible to losses or damages or any incurred to buyer due to incorrect invoice.

35. Cancellation & Refund Policy
    • Cancellation of Order
    • Cancellation of order by buyer: Cancellation will not be allowed once sellers confirms the order. Cancellation of the product will be allowed before the product has been confirmed by the seller, once the shipping procedure starts the buyer not able to cancel the ordered product or service which they have ordered.
    • No refund will be allowed once the order has been confirmed to ship by seller.

    • Cancellation of order by seller: It is under the sole discretion of seller to cancel the order on his own at any time for any reason. Y-Kart or its associates or its partners are not liable for any losses or damages caused to buyer due to cancellation of order by seller.
    • Return or Replacement or Refund or Exchange: A product return is the process of a customer taking previously purchased merchandise back to the retailer, and in turn receiving a replacement or refund in the original form of payment, exchange for another item (identical or different). Return or Replacement or Refund or Exchange (Collectively referred as ‘RRRE’) is a scheme provided by respective sellers directly under this policy in terms of which option is offered by respective sellers to buyers. All products listed under same category do not have same RRRE. Reasons like damaged, different product not as shown on our platform may be consider after detailed investigation before accepting replacement. Y-Kart is not liable for any damages caused to buyer because of seller violating RRRE policy, Y-Kart may share the details of seller to such buyer to resolve their dispute. Y-Kart is not facilitating any Buyer protection Program bit we may try our level best to clear the dispute which brings to our notice through disputes@ykartretail.com, Y-Kart is only platform provider.
    • Non-Returnable: Products which are marked as not returnable are not cover under RRRE Policy.
    • Return: Buyer have to verify before order of product on our platform whether return option is available or not. Scheme of return option is completely under the discretion of sellers only. Buyer has to raise return request with proper reason through our customer care or through MY account page of platform with in 1 (One) day or within the same day after receiving the product by buyer from our delivery partner by contacting our customer care. Return is defined as the action of giving back the item purchased in the original condition to the seller along with the original packing, MRP “Maximum Retail Price” tags, Not activated, Note used or which may to be consider to accept the return request by seller which are purchased on this platform. The issue to be consider the return request are likely to be damaged product, product was missing, wrong item was received. On return of the product there are chances or replacement or refund based on the case, which may varies product to product. If seller disagrees a return request even there is a valid reason. Buyer can file a dispute directly on seller to our customer care. In case of product was shipped directly by the seller to buyer, once the return request was accepted by the seller – buyer has to send the product in actual condition to seller directly (In this type of return request you have to raise return request through our customer care, Y-Kart is not liable for any shipment problem). Seller may reject the return request raised by the buyer if reason is not valid or not to be consider.
    • Replacement: It may under the sole discretion of seller only. Replacement of product is allowed only when the customer may receive any different product (other than what they have ordered), defective product (Damage or  item was defective or item was dead on received, items were missing or wrong item was sent which may be considered by our seller) with in 1 (One) day or within the same day after receiving the product by buyer from our delivery partner by contacting our customer care. Reasons like damaged, different product not as shown on our platform may be consider after detailed investigation before accepting replacement. In case of replacement accepted by the seller, buyer have to return the purchased product in the actual condition in which they have received, once seller receives the product then seller may send the new product to the buyer. In case the seller is unable to ship the replacement product with in 4 business working days, buyer may get the refund amount of the product purchased as per the refund policy.
    • Exchange: Exchange is a scheme offered by the seller on his own. Exchange means the seller may take the older or used product from the buyer and giving him new product or as mentioned under the product description. The benefit of exchange will be availed by buyer in from of cash discount which is directly provide by seller. Buyer has to pay the difference amount of original cost to exchange cost. Currently we are not facilitating any exchange policy.
    • Refunds: There could be situations when customers or buyers request a refund of the payments made for the products or services purchased or availed after cancellation or returned of the same to seller on Y-Kart website or on its mobile application. If the product is returned by buyer or cancelled by buyer the refund amount will be refunded back after deducting transaction charges, taxes or any other charges which may to be considered from the total paid for product to buyer actual mode of payment within 15 business working days.
